Acceptance

By submitting an order to Norprint Corp. online, electronically, or by telephone, and subsequently accepting our Order Confirmation or PDF Approval form by signing or approving it electronically, you agree to purchase printed products from Norprint Corp. This action confirms your acceptance of the terms and conditions of sale outlined below.

Use of Trademarks, Artwork, and Designs

You warrant and represent that the artwork and design supplied to Norprint Corp. do not violate or infringe upon the rights of any person or entity and are free from any restrictions that would prevent Norprint Corp. from legally reproducing the images or text. You agree to defend, at your sole expense, any claim, suit, or proceeding brought against Norprint Corp. arising from the reproduction of the artwork, trademarks, logos, or written information you provide, which constitutes wrongful use of any copyright, trademark, or other rights of third parties.

Product Consistency

Norprint Corp. cannot guarantee that all orders will be 100% consistent in color and material. Minor variations in color, material thickness, and finish are inherent to the production process. By placing an order with Norprint Corp., you agree to accept merchandise with such reasonable manufacturing variations.

Copyright Protection

The information on this Website is protected by copyright laws and intellectual property rights. You will need written authorization from Norprint Corp. to use this information. Partial or total reproduction or diffusion is strictly prohibited (information, text, images, graphics, or others) without Norprint Corp.'s express authorization.

Warranty and Limitation of Liability

Norprint Corp. warrants that each product sold will be free from defects in material and workmanship. Products that do not conform to their description, or that are defective in material or workmanship, will be replaced or repaired, or credit for the original purchase price may be issued, at Norprint Corp.'s discretion, provided the customer notifies Norprint Corp. in writing within thirty (30) days of delivery and returns the products according to Norprint Corp.'s instructions. No returns are accepted without prior written authorization from Norprint Corp.

Norprint Corp. makes no other warranties, express or implied, including merchantability or fitness for a particular use. Failure to make a written claim within the thirty (30) day period constitutes irrevocable acceptance of the products. Norprint Corp. is not liable for direct, indirect, incidental, special, or consequential damages, including but not limited to, inability to use the products, increased operating costs, or loss of sales. The foregoing constitutes the customer’s sole and exclusive remedy and Norprint Corp.'s sole obligation regarding the products furnished.

Payment Terms

All payments are due at the time of order unless otherwise agreed upon in writing. Norprint Corp. accepts various forms of payment, including credit cards, checks, and electronic transfers. In the event of non-payment, Norprint Corp. reserves the right to withhold delivery of the products. If terms are granted and payment is not received within the agreed-upon timeframe, Norprint Corp. reserves the right to initiate collection activities, including but not limited to, engaging a collection agency or pursuing legal action to recover the owed amounts. You agree to pay all costs associated with the collection of unpaid amounts, including legal fees and expenses.

Norprint Corp. Sample Packages

Norprint Corp. reserves the right to utilize any printed products it manufactures or sells for promotional purposes, including but not limited to use as samples, unless the customer expressly notifies Norprint Corp. in writing at the time of purchase of their objection to such use.

Governing Law

This agreement and any claim, dispute, or conflict related to or arising under this Agreement, shall be governed by, and construed and interpreted in accordance with, the laws of the province of Ontario, Canada.

Force Majeure

Norprint Corp. will not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to, acts of God, natural disasters, war, labor disputes, pandemics, government actions, equipment failure, or any other event beyond its control. In such cases, Norprint Corp. will make reasonable efforts to notify customers and mitigate any delays.

Severability

If any provision of these terms and conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Entire Agreement

These terms and conditions constitute the entire agreement between you and Norprint Corp. regarding the purchase of products. Any amendments or modifications to these terms must be made in writing and signed by both parties.
